Floor PAs Requiring Discussion by the Assembly
Any PA the AB saw as one that might generate discussion or have a fiscal impact on the Society was
deemed a “floor” PA. Each of these PAs will be presented separately for a vote. One fiscal impact PA in 2022
was a proposed change in funding for the Latin American Conference. It was not controversial, but because
this was a PA having a fiscal impact on the Society, it was brought to the floor separately for a vote of the
assembly. Members who have attended an international convention can likely remember a PA that brought a lot
of discussion to the floor.
Adopt and Not-Adopt
Besides deciding if a PA should be categorized as ‘consent’ or ‘floor,’ the AB also considers if the PA should
be adopted or not. The AB reviews each PA for clarity and impact on the Society. The AB is trusted with taking
care of the business of the Society and bringing items of importance to the attention of its members. It is
the projected impact of adoption on Society business operations, fiscal sustainability, and future growth that
influences the AB’s decision to recommend ‘adopt’ or ‘not to adopt.’
Importantly, all PAs brought to the AB through the Constitution Committee are considered. If a proposed
amendment is rejected by the AB, there is a process for that proposal to be brought to the floor for discussion
and vote (See Article XVI.A.2.e.).
PA Stories: Foundational Changes
roposed Amendments #62, #63, #64, and #65 focus on changes to the name of the Society. Proposals #62
Pand #63, if approved, would align both the “official” name of the Society as well as the name the Society
might “be known as” with the current logo. Proposals #64 and #65, if approved, would result in a change in the
legal name of the Society.
Because both pairs of proposals would lead to varying degrees of change in the Society’s name, the overall
impact of adoption will be the resulting effect on the Society’s image and branding, both externally and internally,
and how that image and brand are presented and displayed. In marketing terms, branding includes a company’s
name, its logo, its “tag line” or vision, how its “story” or history is presented, and more.
The fiscal impact of a change in the legal name of the Society will include the time and financial cost of
changing the formal name of the Society on all legal and financial documents, both internally (checks, letterhead,
websites, logos, member keypins, award jewelry, paraphernalia, marketing materials, and other places the name
appears) and publicly (filing with government and banking institutions including related fees). This cost will be
incurred at all levels of the Society that use the DKG name, so the total impact is very difficult to anticipate.
Proposals #66, #67, and #68 involve edits in the wording of the Society’s Purposes for clarity and definition.
Replacement of some wording with phrases intended to clarify the intent of the Purpose and define more
accurately the result of implementation, such as that of Proposal #66, will be considered.
Members will decide if such substitutions would allow for a more accurate reflection of
the work of the Society at all levels. The fiscal impact of these changes will be minimal to
none in most cases.
